Our Corporate Secretariat is a critical support function of the Bendigo Bank group. Our highly capable team of passionate professionals provide top tier executive corporate administrative support and governance advice to the Bank’s board and board audit committees, as well as its subsidiaries, and joint ventures. The Opportunity  

An exceptional opportunity has arisen for a talented and motivated governance professional to join our team as a Deputy Company Secretary. Reporting directly to the Company Secretary, you will play a pivotal role in supporting the Board of Directors and ensuring the Bank upholds its commitment to best-in-class corporate governance.  

This is a key senior leadership support role within our organisation. You will act as a trusted advisor on a wide range of governance, regulatory, and compliance matters, contributing directly to the strategic direction and integrity of the Bank. This role can be based in either Melbourne, Adelaide, or Bendigo. We offer flexible work options that put our people first, and a hybrid model with a minimum requirement of 60% of your time per week in the office.  

What You'll Do  

  • Drive Board Effectiveness: Play a crucial part in the seamless execution of Board and Committee meetings, from agenda preparation to the drafting of high-quality minutes and tracking of action items.  

  • Be a Governance Champion: Provide expert advice on corporate governance best practices, ensuring compliance with the Corporations Act, ASX Listing Rules, and APRA Prudential Standards.  

  • Manage Regulatory Compliance: Oversee the Bank's continuous disclosure obligations, manage ASIC and ASX lodgements, and maintain statutory records.  

  • Engage with Stakeholders: Act as a key point of contact for directors, senior executives, and shareholders, and assist in managing the Annual General Meeting.  

  • Lead Key Projects: Contribute to the preparation of the Annual Report and undertake a variety of strategic projects as directed by the Company Secretary.  

What You'll Bring  

  • A tertiary qualification in Law, Corporate Governance, or a related field.  

  • A postgraduate qualification from the Governance Institute of Australia is highly desirable.  

  • A minimum of 5-7 years' experience in a company secretarial or corporate governance role within an ASX-listed entity.  

  • Experience in the financial services or another highly regulated industry is a distinct advantage.  

  • Exceptional communication skills, meticulous attention to detail, and the proven ability to build relationships and influence stakeholders at all levels.  

  • A high degree of integrity, commercial acumen, and the ability to thrive in a dynamic and fast-paced environment.
